Subscriptions. All of our paid services are offered on a subscription basis. This means that the provision of the service will automatically renew at the end of the current subscription period, unless you cancel it before the automatic renewal. For a summary of the key aspects associated with your subscription to our services, please read the subscription terms.
Terms. These General Terms and the Subscription Terms, and any applicable Service Specific Terms (see Section 2 of the General Terms below) (collectively, the "Terms").
For purposes of these Terms, "Shenzhen Xinhuo", "we", "us" or "our " means Shenzhen Xinhuo.

By using the Services, you also agree to the Service Specific Terms that apply to the respective Services. In the event of any conflict or inconsistency between the Terms and the terms contained in the Service Specific Terms, the Service Specific Terms govern and apply to that particular Service.
Services. Our services are usually provided as a paid service. We may also offer versions of certain services that are provided free of charge. These Terms apply to both types of services.
Access to the Services and/or Website. You acknowledge that you are at least eighteen (18) years of age or have the authority to act on behalf of a valid legal entity and that you have full capacity and authority to enter into the terms, conditions, obligations, acknowledgements, representations and warranties and to comply with and abide by them.
Terms Updates. We develop our Services and Site, introduce new features or modify existing features on an ongoing basis. In addition, we may need to revise the Terms from time to time to update the Terms (i) to comply with the law; (ii) to comply with orders/recommendations of regulatory authorities; (iii) to add additional features, services, functionality, technology and/or benefits, or to remove old ones; (iv) to correct errors and mistakes; (v) to clarify the Terms; (vi) to prevent abuse or harm; (v) for any other legitimate reason (e.g., for security reasons). You understand and agree that you are obligated to review the Terms from time to time to stay informed of current rules and obligations. Notice of any material changes to the Terms that affect your rights or obligations will be given in a reasonable manner (e.g., by email) prior to such changes. Unless we state otherwise, each update to the Terms will be effective as of the time the revised Terms are posted. Your continued use of the Services will be deemed acceptance. You may also terminate your relationship with us at any time after the effective date of the updated Terms by closing your account and/or not accessing our Services and Site.
Subscriptions and auto-renewals
Subscriptions. All of our paid services are offered on a subscription basis. You choose your own service term and payment method when you purchase a service. Please review the subscription terms for more information.
Automatic Renewal. At the end of the service period, your subscription will automatically renew for successive defined service periods on the renewal date, unless you decide to cancel your subscription renewal before the billing date. If you do not cancel your subscription at the appropriate time, your selected payment method will be charged at the current renewal price for the upcoming defined service period.
Your User Account
Creating an Account. To access and use any of our services, you must set up an account by providing certain information (e.g., your email address, password, billing information, country/region). All information you provide must be complete, accurate, truthful and kept current. All Shenzhen Xinhuo accounts are non-transferable.
Account Confidentiality and Access. You agree to be responsible and solely liable for any and all uses and activities that occur under your account or password, including, without limitation, the use of such account by any other person, with or without your authorization. You are responsible for maintaining the confidentiality of your account and your password, and for restricting access to your account by any other party. To protect your account, please keep your password confidential. Please do not use your account password for any other service. You agree to notify us immediately of any unauthorized use of your account or password.
Price and Payment
Total price. The price we initially show you for our services may not include taxes. Due to the global nature of our services and the mobility of consumers, we may not be able to determine in advance the specific taxes that will apply to you. Therefore, we can only calculate additional mandatory taxes (for example, sales tax, VAT or other mandatory taxes under the law applicable to you) after you have selected your country of tax residence. In any case, we will show the sum of the additional taxes applicable to your purchase and the total price of your payment before we charge you.
Payment. You agree to pay us for any paid services you purchase from us and all other charges incurred under your account, including applicable taxes and fees associated with your purchase of services. If we do not receive your payment in full and on time, we may suspend or cancel the Services. Suspension or cancellation of services for non-payment may result in your inability to access and use your account and its content.
Recurring Payments. When you purchase Services on a subscription basis (e.g., monthly, annually or otherwise), you agree that (i) the Services will automatically renew until you cancel, (ii) you authorize recurring payments, and (ii) payments will be sent to Shenzhen Xinhuo in the manner and at the periodic intervals you have agreed. for more information about subscriptions and their cancellation, please read our subscription terms.
Payment Method. To purchase services directly through us on our website, you must provide us with a currently valid payment method, such as a credit or debit card or any other payment method available on the website.
Billing. By providing Shenzhen Xinhuo with a payment method, you (i) represent that you are entitled to use the payment method you provide and that any payment information you provide is true and accurate, (ii) authorize Shenzhen Xinhuo to bill you for the payment method you provide, and (iii) authorize Shenzhen Xinhuo to bill you for any paid services you select at the time of purchase.
Payment Processing. Shenzhen Xinhuo also reserves the right to (i) electronically obtain and continue to use updated credit card account information from credit card brands where applicable, (ii) retry failed payments to complete transactions, including, but not limited to, retrying failed credit cards with extended expiration time dates and (iii) change or modify authorized payment companies to assist with payment processing.
Fraud Protection. Shenzhen Xinhuo reserves the right to verify credit/debit card payments prior to completing a purchase.
Price Changes. We may change the prices of our paid services, including subscription renewal prices, from time to time in our reasonable discretion to reflect changes in the total costs associated with our services. Examples of cost elements that affect the price of our services include licensing costs, technology provision and distribution costs and other costs of sales (e.g., billing, marketing), general administrative and other overhead costs (e.g., rent, interest and other financing costs, personnel costs, service provider and service costs, IT systems, energy), and state levies, contributions, taxes and duties. Any changes to pricing will not affect your current subscription period and will only be effective upon subscription renewal. We will always send you a notice prior to collecting the amount of the upcoming payment. In accordance with applicable law, (i) if you do not agree to any proposed change in the renewal price, your sole remedy is to cancel your subscription prior to the next charge, and (ii) your continued use of the Services without canceling your subscription constitutes your agreement to pay the new renewal price for the Services.
Changes in payment details. If any of your payment details (such as card number or its expiration date) change, please let us know as soon as possible so that we can continue to provide the service when you renew your subscription. If you update the payment details in your account, the updated information will be considered as your preferred method for any future payments. Occasionally, we may receive updated credit or debit card information from your issuer or card network, and Shenzhen Xinhuo will use this information to automatically update your payment details.
Free Trials. In some cases, we or others acting on our behalf may offer a free trial of our paid services ("Free Trial") prior to charging you for your payment method. The duration, use and other details of the Free Trial will be specified in the registration and/or promotional materials. We determine your eligibility for a Free Trial in our sole discretion and, to the extent permitted by applicable law, we may limit or withdraw the Free Trial option at any time without notice. If you provide your payment details when you sign up for a free trial subscription, we will automatically charge you for our paid service subscriptions and will automatically renew them until cancelled. If you do not want to continue your paid subscription after the free trial, you must cancel your subscription before the free trial ends. If you receive a free trial from a third party, you may cancel your paid subscription through that third party. We reserve the right to limit you to one free trial or promotional paid service and to prohibit combinations of free trials or other promotional offers.
Cancellation and Refund Policy
Subscription Cancellation. You have the right to cancel your subscription (i.e., turn off automatic renewal for upcoming service periods) at any time (please note that cancelled subscriptions will not be refunded for unused portions of the current service period). The possibility for you to cancel your subscription and/or receive a refund may vary depending on whether you are purchasing the service from (or charging through) Shenzhen Xinhuo or a third party (e.g., an app store, service provider, retailer).
Refunds. We seek your complete satisfaction with our Services. However, if you are not satisfied with our Services, you may cancel your subscription and request a refund within thirty (30) days of purchasing our Services ("Money Back Guarantee"). Please note that if you cancel your subscription after the date on which such auto-renewal charges are made, we do not offer a money-back guarantee for auto-renewal subscriptions, unless otherwise required by applicable law. In any event, we will be happy to resolve any problems you encounter before you decide to request a Money Back Guarantee.
Payment of Refunds. Your request will be processed without any unreasonable delay and refunds will be paid using the same payment method as the purchase was made, unless otherwise agreed by the parties and unless applicable law prohibits us or a payment service provider we rely on from processing the refund. For payments made in cryptocurrency, if the cryptocurrency used to make the purchase is unavailable or unusable, the refund will be made in the same cryptocurrency or another cryptocurrency. The amount of the refund in cryptocurrency will be calculated based on the equivalent price paid in US dollars at the time of purchase. Such refunds will not be issued if the card provider does not support payments made with prepaid cards or gift cards. After a refund is issued to you, you will not be able to access the refunded service.
Refund Eligibility. Under the Money Back Guarantee, you may only receive two refunds for each of our services. If you purchase a specific service again after the second refund for such service, you will not receive any further cancellations under the money back guarantee. If you cancel your subscription at any time after the expiration of the corresponding money-back guarantee period, you will be charged for the entire subscription period (for example, if you purchase an annual subscription and you decide to renew it for two (2) months, you will be charged the full amount, but the subscription will not be renewed after it ends).
Subscriptions purchased through the Apple App Store. Subscriptions purchased through the Apple App Store are subject to the Apple App Store Refund Policy. This means that if you make a purchase through the Apple App Store, we cannot issue a refund - please read Apple's refund policy for in-app purchases and/or contact store support. If you purchased an auto-renewing subscription through the Apple App Store and want to cancel it, you'll need to do so directly in your Apple App Store account. Subscriptions purchased through other providers. Refunds for purchases from third-party marketplaces, retailers and resellers (Amazon, BestBuy, StackSocial, etc.) are processed according to the terms of service of the provider from which the service was purchased. Cancellation of such subscriptions may also be subject to the terms of certain providers.
Cancel the automatic renewal of the subscriptions purchased on our website. If you have purchased an auto-renewing subscription on our website and wish to stop the auto-renewal, you can do so at any time through your Shenzhen Xinhuo account. The cancelled subscriptions will not be refunded for the unused part of the current service period.
License Terms
Software. To access and use our services, you may need to download and install our software on your device. See below for the terms and conditions that apply to the use of such software. Under these Terms, "Software" means any mobile and desktop software applications and any other software (including any versions, updates, enhancements or modifications) and any documentation accompanying or related to such Software that we provide to you for your use of the Services.
License Grant. Subject to the terms and conditions of these Terms, and provided you comply with these Terms, we grant you a limited, revocable, non-exclusive, personal, non-transferable, non-sublicensable, non-assignable, fixed-term license ("License") to download, install and use on compatible devices owned or controlled by you Copies of the Software. No other rights or licenses, express or implied, are granted to you under this Agreement in connection with the Services and/or the Software.
Apple Requirements. For clarity, for software downloaded from the Apple, Inc. ("Apple") App Store, the license is limited to the use of such software on any Apple-branded device owned or controlled by you and as permitted by the rules of use set forth in the Apple Media Services Terms and Conditions, except that such Software may be accessed and used by other accounts associated with you through the Family Sharing or Volume Purchase features.
We reserve all rights. The software used under these terms is licensed, not sold, and you will not acquire any copy or ownership of the software itself, or even more so, the services and website.
The version of the Services and Software available on the renewal date may be different from the version available when you first purchased a license from us. We will provide application updates for all operating system versions for at least two (2) years after the initial operating system version is released.
Feedback. You hereby grant Shenzhen Xinhuo and/or its affiliates a perpetual, irrevocable, worldwide license to use the Feedback (as defined below) that you communicate to us without reimbursement or compensation, without obligation to report such use, and without any other restrictions. You waive (or agree not to enforce) any and all rights (including moral rights and equivalent rights) that may exist now or in the future in the Feedback. ("Feedback" means any suggestions, ideas, proposals, recommendations, feedback, comments, or other input related to our Services, Software, or Site)
Prohibited and restricted use
Your access to and use of the Services and the Site is subject to the Terms and all applicable laws and regulations. We reserve the right to suspend and/or terminate the account and/or services of any user who violates any applicable law or these Terms at any time, in our sole discretion, with or without notice, whether for repeated violations or for a single violation. You agree that you shall not yourself and/or allow others to.
-Use, assist, encourage or allow others to use the Services/Website for any illegal, unlawful, illicit, criminal or fraudulent activity, including but not limited to port scanning, sending spam, sending opt-in emails, scanning open relays or open proxies, sending unsolicited email or any version or type of email sent in bulk, even if the email is routed through a third party server, any pop-up launch, use of stolen credit cards, credit card fraud, financial fraud, cryptocurrency fraud, disguise, extortion, blackmail, kidnapping, rape, murder, selling stolen credit cards, selling stolen goods, offering or selling contraband and dual-use items, offering or selling controlled substances, identity theft, hacking, grafting, phishing, crawling of any kind or size , digital piracy, conducting distributed denial of service (DDoS) attacks, and other similar activities.
-Use of the service/website for any military purpose, including cyber warfare, weapons development, design, manufacture or production of missile, nuclear, chemical or biological weapons.
-attack, interfere, gain unauthorized access, deny service to any other network, computer or node in any way or form through our service/website.
-Exploit children in any way, including audio, video, photography, digital content, etc.

-Distribute, transmit, store, make available, share any unlawful, abusive, harassing or otherwise objectionable content.
-Distribution of any virus or other computer code, files, programs, instructions or technical means to destroy, damage or interfere with the use of a computer or related system.
-attempt to circumvent any technical measures and/or arrangements implemented by Shenzhen Xinhuo and/or its licensors, or by the owner of the source of the resource or material protected by the technical measures.
-interfere with or disrupt the integrity or performance of the Service/website.
-to take any action that imposes or is likely to impose an unreasonably or disproportionately large load on our infrastructure.
-sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services, subscriptions and/or accounts in any manner.
-use any robot, spider, crawler or other automated means to access our website or services for any purpose without our prior written permission.
-Build products using similar ideas, features, functions or graphics of the Services/Website, or copy any ideas, features, functions or graphics of the Services/Website.
-Claim that you are a representative or agent of any of the Services (including any of their features).
-Threaten, stalk, harm or harass others, or promote prejudice or discrimination.
-attempting to gain unauthorized access to the Services, accounts, computer systems or networks connected to the Services through hacking, password mining, brute-force cracking or any other means.
-violates general ethical or moral norms, good customs, and norms of fair conduct
-Use the service/website for any purpose other than its lawful purpose.
-consistently exhibit disrespectful, threatening, offensive and/or malicious behavior when communicating with Shenzhen Xinhuo customer support and/or other employees.
-access and use of the Services if you have been or are barred from accessing the Services, or if your account has been suspended or terminated for any reason.
-sharing non-public features or content of the Software and/or Services with any third party.

You also may not take any action to jeopardize, limit or interfere in any way with our ownership of and rights in the Services. Except as expressly permitted by applicable law and these Terms, you do not have the right, nor shall you enable yourself or others to: (i) copy, modify, create derivative works of, distribute, make available over the network, publicly display, or publicly perform the Services, Software, or Website; (ii) reverse engineer, decompile, disassemble, decrypt, or attempt to derive code, trade secrets, or other confidential information; (iii) translate, adapt, arrange, or make any other changes to the Services, Software, or Site and reproduce the results thereof; (iv) assign, distribute, rent, sublicense or lease the Services, Software, or Site and/or your rights granted by this license to any third party; (v) use the Services, Software, or Site in any manner not expressly permitted by these Terms; (vi) remove or modify the Services, Software, Site's marks or any proprietary notices.
We use automated tools to identify web crawls and minimize abuse of our services. These tools look for irregular patterns when starting a new session, and if such patterns are found, it may automatically suspend your account or otherwise restrict your access to the Services until further investigation is complete.
You are responsible for knowing the relevant laws of any jurisdiction or location that relate to you, your conduct and your use of the Services. You access and use the Services in your country on your own initiative, and you are solely responsible for compliance with your local laws and regulations and the laws and regulations of any country with which you communicate, transmit or receive data, if and to the extent such laws apply.
We encourage you to notify us of any violations of these Terms by Shenzhen Xinhuo users or other third parties by contacting us (Section 18 of these General Terms ("Contact Us")). In the event of such a violation, we may take appropriate action at our sole discretion.

Notwithstanding any other provision of these Terms, we reserve the right to modify, suspend or terminate access to the Services or any features that form part of the Services at any time. In no event shall we be liable for making such changes to the extent permitted by applicable law.
